Partner Gustavo Flausino Coelho attended the event “M&A Summer Seminar – Between the Sheets: an intimate look at the interaction of balance sheets and purchase price mechanisms” organized by the Corporate and M&A Committee of the International Association of Young Lawyers (“AIJA”). The event took place between June 16 and 18 in Sibenik, a historic Croatian city on the Adriatic Sea.
The key subject of the event was the importance of understanding the balance sheet of the target company in an M&A transaction and the correlation with the purchase price formation mechanism in the Share Purchase Agreement (SPA). In the first part of the event, the speaker and business coach Mr. Juergen Rismondo coordinated a business simulation showing the basic structure of a company in a practical way. The second part of the event was divided into three panels that approached the purchase price mechanisms and how the specific information from the balance sheets can be reflected in these mechanisms.
Gustavo Flausino Coelho participated in the third panel of the second part of the event, which simulated the negotiation of an ern-out clause in an M&A transaction. Gustavo Flausino Coelho, Florian Nikolai (DORDA , Austria) and Fabienne Anner-Wyler (Walder Wyss, Switzerland) participated in the simulation representing the sellers’ interests, while Loredana Hartmann (MLL, Switzerland) and Nick Atkins (Stevens & Bolton, England) participated in the simulation representing the buyers’ interests.
